Terms & Conditions

These general terms govern engagements between Zedech Solution and our clients. Project-specific details — scope, milestones, service levels, and timelines — are defined in the individual Statement of Work or Quotation, which prevails in case of conflict.

  1. 01

    Scope of Work

    Project Execution
    Services are limited to the features explicitly defined in the project proposal, quotation, or Statement of Work (“SOW”) signed between Zedech Solution and the Client.
    Change Requests
    Any functionality requested outside the original SOW will be treated as a “Change Request” and quoted separately based on development effort.
    Third-Party Integration
    Our systems may rely on external APIs and services (e.g., WhatsApp, Meta, Google, AutoCount, AI model providers). We are not liable for service interruptions, deprecations, policy changes, or price changes initiated by these providers.
    Project-Specific Terms
    Service levels, hosting arrangements, maintenance scope, UAT windows, and project timelines are defined in the individual SOW or Quotation. In case of conflict between these Terms and a signed SOW, the SOW prevails.

    Payment & Ownership

    Milestones
    Payments are due according to the milestones and schedule defined in the SOW. Deposits and milestone payments are non-refundable once the corresponding work has commenced.
    Intellectual Property
    Upon receipt of final payment, the Client receives ownership of the custom code, prompts, and database schema delivered specifically for their project. Zedech Solution retains all rights to its pre-existing tools, internal frameworks, reusable components, and methodologies.
    Suspension
    Failure to meet payment deadlines may result in the suspension of system access, deployments, and API services until the outstanding balance is cleared. We will provide written notice before suspension where reasonably practicable.

    Client Obligations

    Content Provision
    The Client agrees to provide necessary assets, business information, and approvals in a reasonable timeframe. Delays in providing required materials may extend project timelines and incur additional costs.
    Technical Access
    The Client is responsible for granting the necessary permissions for installation, integrations, and account linking (e.g., WhatsApp, Meta, Google, hosting providers).
    Acceptance Testing
    The Client is responsible for reviewing deliverables and reporting issues within the User Acceptance Testing (UAT) window defined in the SOW. Requests made after UAT are treated as maintenance, change requests, or new work.
    Acceptable Use
    The Client agrees not to use Zedech systems for unlawful, fraudulent, abusive, or spam-related purposes, or in any way that violates the terms of underlying third-party providers (e.g., WhatsApp Business Policy, OpenAI Usage Policies). The Client is responsible for any account suspensions caused by such misuse.

    Hosting & Maintenance

    Scope
    Hosting, maintenance, and ongoing support — including server administration, backups, model tuning, and feature updates — are only provided where explicitly included in the SOW or a separate maintenance agreement.
    Service Levels
    Specific response times, resolution targets, support hours, and uptime commitments are defined in the SOW or maintenance agreement, not in these Terms.
    Third-Party Dependencies
    Performance and availability may depend on infrastructure and services outside our control. We are not liable for downtime caused by third-party hosting, network, or API providers.

    Data Protection & Privacy

    PDPA Compliance
    Zedech Solution processes personal data in accordance with the Malaysian Personal Data Protection Act 2010 (PDPA) and applicable data protection laws.
    Data Integrity
    We implement reasonable technical and organisational measures, including role-based access control and audit logging, to safeguard Client data.
    Purpose Limitation
    Client data is used only to deliver the agreed services. We do not sell Client data, and we do not share it with third parties except where required to operate the service (e.g., AI model providers, hosting) or where required by law.
    Backups
    Where backups are part of the agreed service, we maintain reasonable backup procedures. The Client is responsible for retaining their own copies of business-critical data where required.
    Confidentiality
    Each party agrees to keep confidential any non-public business, technical, or commercial information disclosed during the engagement, and to use it solely for the purpose of fulfilling the agreement.

    AI Output & Responsibility

    Accuracy
    AI-generated outputs may contain errors, omissions, or inaccuracies. While we tune our agents for reliability, we do not warrant that outputs are error-free, complete, or fit for any specific decision-making purpose.
    Client Review
    The Client is responsible for reviewing and approving AI-generated content (e.g., social media drafts, customer responses, reports) before publication, distribution, or reliance.
    Not Professional Advice
    AI outputs do not constitute legal, medical, financial, or other professional advice unless explicitly stated and reviewed by a qualified professional.
    Model Changes
    Underlying AI models may be updated, deprecated, or restricted by their providers. We are not liable for changes in model behaviour, pricing, or availability outside our control.
  7. 07

    Termination

    Notice
    Either party may terminate an ongoing service or maintenance agreement with written notice as defined in the SOW, or otherwise on reasonable notice.
    Effect of Termination
    Upon termination, the Client remains liable for fees accrued up to the termination date. Pre-paid fees for services not yet rendered may be refunded at our discretion, less any costs already incurred.
    Data Retrieval
    On request, the Client is entitled to a reasonable export of their business data in a commonly used format. Specific export formats and timelines are defined in the SOW where applicable.
    Account Revocation
    Upon termination or at the Client’s instruction, access for departing or terminated users is revoked to maintain security.
  8. 08

    Limitation of Liability

    Indirect Loss
    To the maximum extent permitted by law, Zedech Solution is not liable for indirect, incidental, or consequential losses, including loss of profit, revenue, goodwill, or business opportunity arising from the use of, or inability to use, our services.
    Cap on Liability
    Our total aggregate liability arising out of or in connection with any engagement shall not exceed the fees paid by the Client to Zedech Solution under the relevant SOW in the twelve (12) months preceding the event giving rise to the claim.
    Force Majeure
    Neither party is liable for delays or failures caused by events beyond their reasonable control, including natural disasters, internet or power outages, governmental action, third-party API or hosting failures, cyberattacks, or pandemics.
  9. 09

    Governing Law

    Jurisdiction
    These Terms are governed by the laws of Malaysia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
    Updates
    We may update these Terms from time to time. The current version applies to all engagements entered into after the “Last updated” date below.
